PMI
HOW WE APPROACH PMI
Post-merger integration (PMI) is a critical stage following a merger or acquisition, where organisations bring together people, processes, and systems to realise the full value of the transaction. A successful PMI requires careful planning, structured execution, and clear governance to ensure a smooth transition and minimise operational disruption. At XVARO, we bring extensive experience supporting organisations through this process, working collaboratively with leadership teams to align operations, integrate finance functions, and deliver sustainable outcomes.
Our approach to PMI is practical and structured, focusing on planning, execution, and delivery to ensure integration is aligned with strategic objectives. By combining advisory expertise with hands-on support, we help organisations manage complexity, maintain business continuity, and unlock the intended value of the merger or acquisition.
Our Process
-
Planning is the cornerstone of a successful PMI. At XVARO, we take a structured approach that begins with defining a clear integration strategy aligned to the organisation’s overall objectives. We then conduct targeted due diligence to identify risks, opportunities, and potential synergies, followed by the development of a detailed integration plan across business areas, recognising that the level and pace of integration may vary.
Integration activity may be delivered through a phased or “big bang” approach, depending on organisational priorities and operational complexity. To support effective delivery, we often establish and lead an Integration Management Office (IMO), ensuring strong governance, coordination, and communication throughout the process. XVARO’s PMI playbook and templates further support efficient planning and execution, helping organisations deliver integration effectively and realise value sooner.
-
Execution is the next crucial step in the PMI process. At XVARO, we take a proactive approach to execution that involves several key steps.
Firstly, we project manage / perform the activity planned by business area and report on progress through working groups and eventually Steercos.
Secondly, we communicate early and often to keep all stakeholders informed of progress and any changes to the plan. This includes employees, customers, suppliers, and investors. This is done by setting the appropriate governance to ensure there are effective channels for communication and decision making. This is usually a steerco and working groups.
Thirdly, we manage cultural differences to ensure a smooth integration process. This may involve cultural training, team building exercises, and other initiatives. We often use partners to support in terms of change management where it can’t be performed internally.
Fourthly, we address legal and regulatory issues that may arise. This may include obtaining regulatory approvals, addressing antitrust concerns, and ensuring compliance with labour laws.
We focus on quick wins to build momentum and demonstrate progress during the integration process.
-
Post implementation review (PIR)
PIR is the final phase of the PMI process. At XVARO, we take a structured approach to delivery that involves several key steps.
Firstly, we conduct a post-merger review to evaluate the success of the integration and identify any lessons learned for future mergers or acquisitions.
Secondly, we measure the success of the PMI against the goals and objectives outlined in the integration plan. This may include financial metrics, customer satisfaction surveys, or employee engagement surveys.
Thirdly, we embed the new culture in the organization by changing policies, procedures, and systems to align with the new culture. Lastly, we develop a roadmap for the future that outlines the strategic direction of the organization post-merger and identifies any areas for further improvement.
